1. Parties and purpose

This contract binds Mahtos Technologies, a sole proprietorship (NINEA 013450375 · RCCM SN.DKR.2026.A.39852), whose registered office is at Rue 37 x 26, Médina, Arr. Plateau, Dakar, Sénégal, represented by its legal representative, Hermann Therence Bokapa ("RIIVA"), and the natural or legal person who activates an Organizer space ("the Organizer").

It sets the Organizer's rights and obligations for selling tickets through RIIVA, in addition to the Terms of Use.

2. Organizer status and declarations

The Organizer is an independent seller, solely responsible for their events: content, administrative permits, safety, insurance, tax obligations (including VAT on their tickets) and social obligations.

They declare: that they have legal capacity (and, for an organization, the authority to bind it); that their identity and contact details are accurate; that they are the rightful beneficiary of the declared payment numbers; that their events are real and lawful.

3. Publishing events

Each event is reviewed by the RIIVA team before publication. RIIVA may refuse, suspend or remove a misleading, unlawful, incomplete or suspicious event.

The Organizer undertakes to give accurate information (date, venue, content, price, capacity) and to report any significant change without delay.

4. Tickets and capacity

The Organizer honors all valid tickets sold. They do not put more seats on sale than their real capacity. The capacity of a category can be increased at any time but cannot fall below the seats already sold.

5. Direct collection of payments

Mobile Money payments are paid directly to the Organizer, on the numbers and in the name of the beneficiary they declared in their space. This information must match their identity or that of their organization.

The Organizer confirms an order only after checking that the funds were actually received and that the proof matches (number, name, amount). Confirming an order without receiving funds, or refusing without reason to confirm an order that was actually paid, is a serious breach.

It is prohibited to invite Attendees to pay outside the means and numbers shown on the Platform, or to sell outside the Platform tickets generated by it.

6. Service fees owed to RIIVA

Service fees follow the public grid in force (About page, "Fees" section): they are calculated on the price excluding tax of each ticket, subject to the applicable VAT, and, at the Organizer's choice, borne by the Buyer or absorbed by the Organizer.

Where the Organizer has collected payments directly, they owe RIIVA the service fees of the paid orders (excluding refunded orders and exempted tickets). The detail appears in real time in the "RIIVA fees" tab of their space: amount due, confirmed settlements, balance.

Fees fall due on the date shown in the space (by default 7 days after the event date). The Organizer may pay at any time, in advance, by the means shown in their space, and declares their payment with its reference and a proof; the payment is taken into account after confirmation by RIIVA.

An Organizer whose Mahtos company is linked benefits, within the limits of the public grid, from a service-fee exemption on part of their tickets.

7. Default of payment

If payment is not made by the due date, RIIVA may, after notification in the space and by e-mail: suspend ticket sales and the creation of new events by the Organizer; withhold any sum RIIVA may owe them; start amicable or judicial recovery; and report the default to the relevant partners and operators to the extent permitted by law.

Reasonable recovery costs incurred may be charged to the Organizer within the limits of applicable law.

8. Fraud prevention and controls

The Organizer acknowledges that RIIVA may: request identity or activity documents; verify consistency between orders, proofs, entry validations and declarations; limit or suspend sales in case of unusual activity; keep technical logs as evidence.

The following in particular constitute fraud: false declaration of identity or payment number; confirming fictitious or uncollected orders; under-declaring sales; duplicating or reselling QR codes; creating multiple accounts or events to evade a suspension or a debt.

In case of proven or seriously suspected fraud: immediate suspension, cancellation of the tickets concerned, immediate due date of the fees owed, account closure and report to the competent authorities.

9. Cancellation, postponement and refund

In case of cancellation, the Organizer refunds Attendees the ticket price and the service fees paid as soon as possible, and at the latest within fourteen (14) days, using the payment method used. They update the orders concerned in the Platform. No service fee is due on a refunded order. In case of postponement, they inform Attendees and tickets remain valid.

10. Attendee data

The Organizer uses Attendees' personal data only to organize the event concerned, protects it, and neither sells nor transfers it. Requests to exercise rights that they receive are handled without delay.

11. Intellectual property and image

The Organizer warrants that they hold the rights to the published content and authorizes RIIVA to display and promote it for the purposes of the service. The RIIVA and Mahtos brands may not be used without written consent.

12. Liability

The Organizer indemnifies Mahtos Technologies against any third-party claim related to the event, its content or a breach of this contract. Within the limits of the law, Mahtos Technologies's liability is limited to direct and foreseeable damage; mandatory rights are preserved.

13. Term, suspension and termination

The contract is concluded for an indefinite period. Either party may terminate it by notice, without prejudice to sums due and ongoing events. Immediate suspension or termination is possible in case of serious breach or fraud.

14. Electronic acceptance and evidence

The contract is accepted online from the Organizer space. RIIVA records the version accepted, the date and time, the account identifier and technical elements (IP address fingerprint, browser). This acceptance constitutes an electronic signature and binds the Organizer; for an organization, the person accepting declares that they have the authority to bind it.

Any significant change to the contract gives rise to a new version; the Organizer must then re-accept it to keep publishing or selling.

15. Governing law and disputes

The contract is governed by Senegalese law. The parties first seek an amicable solution (legal@mahtos.online); failing that, the competent courts of Senegal have jurisdiction.
